WHEN YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS ("AGREEMENT"), YOU ARE CREATING A LEGAL DOCUMENT BETWEEN YOU AND SILICON FINANCIAL GROUP, INC. AND ITS DIVISION CALLED WALLSTREETTAPE.COM ("OWNER" BOTH JOINTLY AND INDIVIDUALLY INCLUDING BUT NOT LIMITED TO ITS OFFICERS, DIRECTORS AND SHAREHOLDERS) AND YOU WILL BE BOUND BY ALL OF THE TERMS OF THIS AGREEMENT.  YOU SHALL BE DEEMED TO HAVE ACCEPTED THIS AGREEMENT WHEN YOU ENTER ANY PAGE BEYOND OUR HOME PAGE OR, IF YOU ARE A MEMBER, BY YOUR AFFIRMATIVE ACT OF BECOMING A MEMBER AND BY CLICKING ON THE "I ACCEPT THESE TERMS AND CONDITIONS" BUTTON.  THEREFORE, YOU SHOULD READ THE ENTIRE AGREEMENT CAREFULLY BEFORE YOU CONTINUE ON OUR WEB SITE OR INDICATE YOUR ACCEPTANCE AS ABOVE.  IF YOU DO NOT AGREE WITH ANY OF THE TERMS OF THIS AGREEMENT, YOU SHOULD *NOT* REGISTER FOR THIS SERVICE AND SHOULD NOT CONTINUE ON OUR WEB SITE.  OWNER RESERVES THE RIGHT TO CHANGE AND ALTER THE TERMS OF THIS AGREEMENT OR ANY OF OUR PRIVACY AND OTHER POLICIES WITHOUT NOTICE TO YOU OTHER THAN SUCH NOTICE AS MAY BE POSTED PUBLICLY FOR ALL OTHERS WHO HAVE AGREED TO THE PROVISIONS OF THIS AGREEMENT.

BEFORE YOU ACCEPT THIS AGREEMENT, YOU SHOULD NOTE THAT OTHER PARTIES INCLUDING BUT NOT LIMITED TO OTHER MEMBERS MAY OBTAIN INFORMATION ABOUT YOU THAT YOU MAY CONSIDER PERSONAL AND THAT THEY MAY SEEK TO USE SUCH INFORMATION IN A MANNER THAT YOU MAY OBJECT TO. OWNER CANNOT GUARANTEE THAT OTHER PARTIES MAY NOT OBTAIN ACCESS TO SUCH INFORMATION.   IT IS NOT CURRENTLY THE POLICY OF OWNER TO RELEASE SUCH INFORMATION.

1. The service provided by Owner entitled "WallStreetTape.com" or any other name we choose ("Our Service" in this Agreement and the term "Our Service" includes but is not limited to any materials, information, software and programming contained in Our Service including materials, information, software and programming owned or provided by any third parties, the latter being referred to as "Third Party Information") and includes any and all levels of service Owner provides now or at any other time. By accepting the Agreement, you have agreed to pay the fees Owner charges for Our Service whichever level of Our Service you elect.  Owner has the right to change, alter, amend, delete or otherwise modify the contents of Our Service without notice to you.
 
2. You may terminate your membership in Our Service for any reason, upon you sending to Owner written notice seven days prior to your billing renewal date. If you terminate, however, your membership and any other fees will not be refunded.   Owner may terminate your membership in Our Service or Our Service in its entirety or any part of Our Service upon written notice to you for any reason whatsoever including but not limited to that Owner may terminate your membership in Our Service if you breach or otherwise violate any of the provisions of this Agreement, whether or not such breach or other violation is the subject of any litigation, claim or other such proceeding and whether or not any such breach or other violation is finally determined.  In the event Owner elects to terminate Our Service in its entirety, Owner will refund to you any accrued prorated membership fees you have paid but have not used. In the event that Owner elects to terminate or otherwise modify only a portion of Our Service, no refund or proration will be made. All notices may be sent by either Owner or you via email.  
 
3. Your membership in Our Service may not be assigned, transferred to any other party nor may you allow any other party to use your membership nor access Our Service.

4. By using Our Service you agree that use of the Our Service is entirely at your own risk. You understand and agree that Owner is not a registered investment advisor or a broker dealer and that there is a very high degree of risk involved in trading and otherwise dealing in and securities. You further understand and agree that past results of any individual trader or of any individual stock or other security are not indicative of future returns by that trader or of that stock or other security and are not to be used by you as any sort of indication or implication of future returns that may be realized by you. The information contained on Our Service including but not limited to any indicators, quotes (both real time and time delayed) strategies, columns, articles and all other features of Our Service ("Information" and including in the term "Information" shall be any and all Third Party Information and all of the foregoing both jointly and individually) is provided to you for informational and educational purposes only and is not intended by Owner as investment advice and you should not consider such Information as investment advice. Owner and the other providers of the Information may hold positions in the stocks, securities, industries and otherwise being discussed and written about on Our Service and you agree that you shall have no claims against Owner or such other providers because they hold such positions, whether or not such positions are disclosed. You expressly agree that you will not rely solely on the Information in making any investment or for any other purpose and that you will instead use the Information only as an additional source of information in making your independent evaluation of the merits of any investment.  Any statements of fact, opinion or otherwise contained on Our Service are made only as of the date so made and are subject to change without notice to you. By using the Information on Our Service, you assume full responsibility for any and all gains and losses, financial, emotional or otherwise, experienced, suffered or incurred by you. The Information and Our Service are not intended to provide tax, legal, investment or other advice.  You are solely responsible for obtaining all such tax, legal, investment or other advice from your own professional advisors both before, during and after making any investment decisions, whether based on the Information or otherwise. Owner shall have the right to communicate any information about you including but not limited to any termination of Our Service either by you or by Owner to any third parties.

5. Any links from Our Service to another web site are provided as a convenience only and Owner does not endorse nor recommend any of the sites nor any information contained in those sites that are linked from Our Service.  Owner shall not be responsible for any information, advice, opinions or the like contained on such other web sites.  In the event that such other sites are sites on which you may trade stocks and other securities, Owner shall have no responsibility or liability for any aspect of such trading or otherwise, all as more particularly set forth in this Agreement. In order to use trading  services, you need to have an existing account with any brokerage or trading company or you will need to set up such an account with such brokerage or trading company. Owner does not endorse or recommend the services of any brokerage or trading company and any such brokerage or trading company you select is solely responsible for its services to you.

6. You shall be exclusively responsible for anything you post, publish or otherwise put up on Our Service or otherwise transmit to any other members of Our Service ("Material" and the term "Material" shall include but shall not be limited to any information about you that you provide to Owner) whether in "chat rooms," discussion groups or otherwise.  All Material that you post, publish or otherwise put up or transmit shall be subject to all of your representations, warranties, obligations and indemnities contained in this Agreement.  Owner reserves the right but has no obligation to reject any Material brought to Owner's attention but Owner shall not, as a regular matter, review, edit, censor or otherwise maintain any supervisory role with regard to any Material.  As to all such Material, Owner shall not be deemed to be the publisher thereof and not responsible in any manner for the content of such Material.  As to all Material (except any information about you), Owner shall be deemed to be the sole and exclusive owner, in perpetuity, of all rights of every kind, nature and description, in all languages, media, whether now known or hereafter developed in and to such Material and in all works based upon such Material, and by your posting such Material, you shall be deemed to have granted Owner all such rights.  None of such Material shall be considered to be confidential and Owner shall be entitled to use all such Material including any information about you in all manner consistent with the ownership rights granted Owner above, all without compensation to you.  You agree that you will not use Our Service or any Information on Our Service, nor will you post any Material on Our Service or otherwise publish, transmit, republish or retransmit to others any Material:
 
a) that in any way may violate the rights of any other party including but not limited to any rights of privacy, libel, slander, copyright, trademark or other rights nor in any way that is obscene, offensive, racist, sexually explicit, harassing or that may violate the laws of any state, country, province or any other governmental entity anywhere in the world or any rule of any securities exchange, including but not limited to the New York Stock Exchange or the NASDAQ/AMEX;
b) that is encrypted; 
c) that in any way is or may constitute advertising or any commercial or other solicitation in any manner of any nature, whether for you or any other party and whether or not considered to be "spam" or junk email and whether or not mailed individually or as part of a mass mailing; 
d) that in any way may constitute an investment scheme, investment opportunity or the like;
e) to impersonate any other person or entity, or misrepresent your affiliation with any other person or entity; 
f) to post or transmit any information or software which contains a virus, Trojan horse, worm or other harmful component; or
g) that in any way may be deemed to be or is a chain letter or the like.

7. Additionally, you understand that everyone who posts any Material to Our Service may own rights to that Material and you agree that you shall not copy, transmit, repost or otherwise use any such Material anywhere without the express, prior and written permission of the owner of that Material.  You further agree that you shall not interrupt or disrupt or attempt to interrupt or disrupt Our Service in any way nor prevent or impede any other party's access to Our Service.

8. Owner reserves the right and by entering into this Agreement you expressly consent to allow Owner to access all Material you post on Our Service.  You expressly consent to allow Owner the right to store and make copies of all of your Material.  You expressly consent to allow Owner to disclose to any other party all such Material and other information you post.  You hereby give and grant to Owner, its successors, assigns and licensees, all rights to use, copy, display, post, repost, distribute, make compilations, data bases, derivative and other versions of the Material including but not limited to incorporating the Material into other works and the within grant shall be a grant to Owner and its successors, assigns and licensees both during the term of this Agreement and after this Agreement terminates for any reason and in perpetuity and may not be revoked by you for any reason.  Owner shall have the right to sell, assign and otherwise transfer any or all of its rights in this Agreement to any other party.

9. Owner is the proprietor of all of Owner's copyrights, trademarks and other proprietary rights and any Information contained on Our Service may also be owned by third parties providing such Information.  As to all such Information, whether owned by Owner or any third party, you shall have no rights of any sort in and to such Information.  With regard to such Information, whether provided by Owner or any third party, as well as to Our Service in whole or in part, you shall not copy, upload, download, post, publish, transmit, reproduce, distribute or otherwise use such Information or Our Service in any manner whatsoever. You may, however, print a single copy of the Information on Our Service solely for your personal use or records.

10. In the event that you elect to purchase any supplies, products or the like from any merchants, advertisers or vendors who are linked to Our Service, you agree that Owner shall not be liable in any manner whatsoever for the results of your purchase or otherwise and that any information you provide to such merchant, advertiser or vendor shall be subject only to your agreement and relationship with such merchant, advertiser or vendor. You agree that you will not hold Owner liable or responsible for any losses, costs or damages of any kind incurred by you  as a result of any such dealings with any merchant, advertiser or vendor. You agree that all information you provide any merchant, advertiser or vendor will be accurate, complete and current and you agree to pay all charges incurred by you and any other users of your account and credit card or other payment mechanism as well as any and all taxes relating to purchases or other transactions made through Our Service. 
 
11. It is the intention of Owner in this Agreement and with regard to Our Service to make certain that Owner is not deemed to be responsible in any manner for the conduct of you or any other member or otherwise and as such, this Agreement and Our Service shall be construed to make Owner not liable in any manner for any Material, such conduct or otherwise and to make Owner's actions  consistent and compliant with all laws, anywhere in the world, whether now in existence or hereafter enacted.
 
12. You represent and warrant: that you are over the age of 18; that neither the Material nor entering into or your performance under the terms of this Agreement by you will impair or violate any rights of any party and that all of the Material complies and will comply with all applicable laws, statutes, rules regulations of any governmental or other body exercising jurisdiction over this Agreement, Our Service or otherwise anywhere in the world; that the Material is original with you; and that you shall be solely responsible for full compliance under all state and federal laws, statutes, regulations and the like regulating this Agreement, Our Service or otherwise. You further represent and warrant that you shall not seek to hold Owner, nor any of its shareholders, officers, directors, agents, attorneys or others liable in any manner for anything that may result from your or another person's use of Our Service, the Information whether provided by Owner or any third parties and whether obtained from Our Service, any web sites linked to Our Service or otherwise.  These warranties shall survive the termination of this Agreement.
 
13. You shall defend and save and hold harmless Owner, Owner's affiliated and related corporations and other related business entities including but not limited to any third parties providing Information, any affiliates, partners or the like of Owner, or otherwise, all of their or Owner's respective successors and assigns and their or Owner's licensees, partners, employees, agents, attorneys, shareholders, officers, directors against any and all claims, demands, costs, awards, damages and the like, including attorneys fees, that may arise from a breach or claimed breach of any of your warranties, representations, promises or obligations under this Agreement, whether or not a breach of those warranties, representations, promises or obligations is finally sustained and whether or not any litigation or claim is filed, or for any other cause of action or claims by any third parties including but not limited to any governmental body whether or not any litigation or claim is filed or sustained. These indemnities shall survive the termination of this Agreement. 
 
14. OUR SERVICE AND OWNER'S PROVIDING OF OUR SERVICE HEREIN ARE PROVIDED ON AN "AS IS" BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND WHETHER AS TO USE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE. OWNER ASSUMES NO RESPONSIBILITY OR LIABILITY FOR YOUR TRADING AND INVESTMENT RESULTS. OWNER DOES NOT GIVE INVESTMENT ADVICE AND DOES NOT ADVOCATE THE PURCHASE OR SALE OF ANY SECURITY OR INVESTMENT BY YOU OR ANY OTHER INDIVIDUAL. YOU ARE USING OUR SERVICE AT YOUR OWN RISK.  OWNER DOES NOT WARRANT OR GUARANTEE, AND OWNER SHALL NOT BE RESPONSIBLE FOR, THE CORRECTNESS OF ANY MATERIAL OR INFORMATION PROVIDED OR POSTED ON OUR SERVICE BY ANY PARTY INCLUDING BUT NOT LIMITED TO ANY PARTY WHO HAS A LINK ON OUR SERVICE AND OWNER DOES NOT ENDORSE OR SUPPORT ANY MATERIAL OR INFORMATION POSTED OR PROVIDED BY ANY PARTY. OWNER SHALL NOT BE LIABLE FOR ANY ACTS OR OMISSIONS BY ANY PARTY INCLUDING BUT NOT LIMITED TO THE ACTS OR OMISSIONS OF ANY OTHER MEMBER OF OUR SERVICE OR ANY OTHER PARTY INCLUDING BUT NOT LIMITED TO ANY PARTY PROVIDING INFORMATION OR WHICH PARTY IS LINKED FROM OUR SERVICE.  OWNER DOES NOT WARRANT THAT ANY OF OUR SERVICE OR OWNER'S PROVIDING OF OUR SERVICE OR ANY MATERIAL OR INFORMATION SHALL BE SUCCESSFUL IN ANY ASPECT OF YOUR INVESTMENT DECISIONS OR THAT YOU WILL MAKE ANY MONEY FROM OUR SERVICE, SUCH INFORMATION OR MATERIAL.  OWNER SHALL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY DIRECT OR INDIRECT COMPENSATORY, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OR COSTS OF ANY CHARACTER INCLUDING BUT NOT LIMITED TO DAMAGES OR COSTS FOR TRADING OR OTHER LOSSES, COPYRIGHT INFRINGEMENT, TRADEMARK INFRINGEMENT, PATENT INFRINGEMENT, LIBEL, SLANDER, INVASION OF PRIVACY, INTERFERENCE WITH THE RIGHTS OF PUBLICITY, LOSS OF GOODWILL, LOSS OF DATA, LOST PROFITS, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION WHETHER AS A RESULT OF VIRUSES, YEAR 2000 PROBLEMS OR OTHERWISE, NOR FOR FAILURE OF OWNER'S OR ANY OTHER WEB HOSTING OR OTHER SERVER NOR ANY FAILURE OF OWNER OR ANY OTHER PARTY TO PROVIDE INTERNET ACCESS FOR ANY PERIOD OF TIME NOR FOR ANY CAUSE OUTSIDE OF OWNER'S CONTROL NOR FOR ANY AND ALL OTHER DAMAGES OR COSTS INCLUDING PUNITIVE DAMAGES OR LOSSES. OWNER WILL NOT BE LIABLE FOR ANY DAMAGES OR COSTS IN EXCESS OF THE TOTAL CONTRACT PRICE FOR THE SERVICES RENDERED HEREIN, EVEN IF OWNER SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES OR COSTS, OR FOR ANY CLAIM BY ANY OTHER PARTY.  THE WITHIN LIMITATION OF WARRANTIES MAY BE LIMITED BY THE LAWS OF CERTAIN STATES OR OTHER JURISDICTIONS AND SO SOME OF THE FOREGOING LIMITATIONS MAY NOT APPLY TO YOU AND YOU MAY HAVE OTHER RIGHTS THAT MAY VARY FROM STATE TO STATE.
 
15. Our Service is provided by WallStreetTape.com, a division of Silicon Financial Group, Inc., located at Somerset, New Jersey, email admin@wallstreettape.com and the name of Owner's agent is WallStreetTape.com, a division of Silicon Financial Group, Inc., located at Somerset, New Jersey.   If you have any complaints about Our Service, you can contact Owner at the above email or other address. This Agreement shall be subject to and interpreted under the laws of the state of New Jersey applicable to agreements wholly to be performed therein as well as the laws of the United States, where applicable.  It is the complete understanding between you and Owner.  It may not be modified by you.  Owner may modify Our Service in any manner without notice to you.  It shall bind and benefit each of your and Owner's respective heirs, assigns and successors in interest but any restrictions on assignment and transfer otherwise contained in this Agreement shall otherwise apply. A waiver of any provision of this Agreement, or any claimed breach thereof, shall not be deemed a waiver of any other provision or breach.  All remedies provided Owner in this Agreement are cumulative and the exercise by Owner of any remedy shall be without prejudice to Owner's exercise of any other rights or remedies available to Owner.  Any dispute arising under this Agreement shall be determined only by a court of competent jurisdiction only Somerset County, New Jersey and Owner shall be entitled to injunctive relief. You expressly consent to personal jurisdiction in such state and in such court.  Notwithstanding anything contained in this Agreement or in any law governing this Agreement or Our Service, any action brought by you alleging any violation on Owner's part of any of the provisions of this Agreement or Our Service must be filed in the appropriate court within twelve (12) months of the date from when the first of any facts giving rise to the allegations took place.   In any action under this Agreement, the prevailing party shall be entitled to attorneys fees and court costs.  In the event any portion of this Agreement shall be held invalid or unenforceable it shall not affect the validity or enforceability of the rest of this Agreement.  All of the provisions of this Agreement shall survive the termination of this Agreement for any reason.
